1. Introduction
Welcome to Selox. Selox is a product developed and operated by SE&LO INC, a company that provides artificial intelligence services through an online platform.
These Terms of Service ("Terms") govern your access to and use of the Selox platform, including our website, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Selox is a Software-as-a-Service (SaaS) platform that enables businesses to create intelligent conversational agents powered by their own knowledge base. The Service includes:
- Document upload and processing (PDFs, manuals, catalogs, and other formats).
- Knowledge indexing using Retrieval-Augmented Generation (RAG) technology.
- Configuration and deployment of AI-powered conversational agents.
- Integration with messaging platforms such as WhatsApp and Telegram.
- An administration panel for managing agents, documents, and conversations.
3. Account Registration
To use the Service, you must create an account by providing accurate and complete information, including your name, email address, and company details. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Notifying us immediately of any unauthorized access.
Each account operates within an isolated tenant environment. Your data, documents, agents, and conversations are completely separated from those of other organizations.
4. Acceptable Use
You agree to use the Service only for lawful purposes. You may not:
- Upload content that is illegal, offensive, defamatory, or infringes on third-party intellectual property rights.
- Use the Service to distribute spam, malware, or conduct phishing activities.
- Attempt to access other tenants' data or circumvent security measures.
- Use the Service in a way that could harm, disable, or impair its operation.
- Resell or redistribute the Service without prior written authorization.
5. Age Requirements
The Service is designed for business use and is not intended for or directed at children under the age of 13 (or under the age of 16 in certain jurisdictions). You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
If you deploy conversational agents that may interact with children under 13, you are solely responsible for ensuring compliance with the Children's Online Privacy Protection Act (COPPA) and any other applicable laws regarding children's privacy. Selox does not knowingly collect personal information from children under 13. If we learn that we have inadvertently collected such information, we will take steps to delete it promptly.
6. Content and Documents
You retain all ownership rights to the documents and content you upload to the Service. By uploading content, you grant Selox a limited, non-exclusive license to:
- Process, chunk, and vectorize your documents for knowledge indexing.
- Store your documents securely in our infrastructure.
- Use your content to generate responses through your conversational agents.
Selox does not use your content to train AI models or share it with other customers. Your content is used exclusively to power your own agents within your tenant environment.
7. Plans and Payments
Free Trial: We may offer a free trial period for new accounts. The free trial provides limited access to the Service for a specified period with a limited number of responses, as published on our website at the time of registration. At the end of the free trial, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue the free trial offering at any time. Only one free trial is permitted per individual or organization.
The Service is offered through subscription plans with different tiers of features and usage limits. Key payment terms include:
- Billing: All payments are processed securely through Stripe. You agree to provide valid payment information.
- Automatic renewal: Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.
- Cancellation: You may cancel your subscription at any time through the administration panel. Access continues until the end of the current billing period.
- Refunds: Subscription fees are non-refundable except as required by applicable law.
- Add-on packs: Additional response packs and premium credit packs may be purchased as add-ons. Pack credits expire at the end of the current billing cycle and do not roll over to the next period.
8. AI and Limitations
The Service uses artificial intelligence and large language models (LLMs) to generate responses based on your uploaded documents. You acknowledge that:
- AI-generated responses are based on the content you provide and may not always be accurate or complete.
- The Service does not guarantee the correctness, relevance, or reliability of any AI-generated response.
- You are responsible for reviewing and validating responses before relying on them for critical decisions.
- Selox is not liable for any damages arising from inaccuracies in AI-generated content.
AI Disclosure Requirement: You are responsible for clearly disclosing to your end-users that they are interacting with an AI-powered system, not a human agent. You must ensure that such disclosure is prominent and provided prior to or at the beginning of any interaction. This obligation applies regardless of the messaging channel used (WhatsApp, Telegram, web chat, or any other integration). Failure to provide adequate AI disclosure may violate applicable consumer protection laws.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible).
- Unexpected technical issues or infrastructure failures.
- Force majeure events beyond our reasonable control.
Formal Service Level Agreements (SLAs) are available exclusively for Enterprise plan subscribers.
10. Termination
You may cancel your account at any time through the administration panel or by contacting support. Selox may suspend or terminate your account if:
- You violate these Terms or our Acceptable Use policy.
- Your account remains inactive for an extended period.
- Required by law or to protect the rights and safety of other users.
Upon termination, your data will be retained for 30 days to allow for export. After this period, all data associated with your account will be permanently deleted.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Selox's total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.
- Selox is not liable for indirect, incidental, consequential, or punitive damages.
- Selox is not responsible for losses arising from the use or inability to use AI-generated responses.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
12. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least thirty (30) days before the changes take effect, or through a prominent notice in the Service.
For material changes that significantly affect your rights or obligations (including changes to pricing, liability limitations, or data processing practices), we will request your affirmative consent. Your continued use of the Service after the effective date of non-material changes constitutes acceptance of the updated Terms.
If you do not agree with the updated Terms, you may cancel your account before the changes take effect.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation for thirty (30) days. If unresolved, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be in Miami-Dade County, Florida.
Class Action Waiver: You agree that any proceeding shall be conducted on an individual basis and not in a class, consolidated, or representative action.
Small Claims Exception: Either party may bring an individual action in small claims court in Miami-Dade County, Florida, for disputes within the court's jurisdictional limits.
14. Copyright and DMCA Policy
Selox respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond to valid notices of alleged copyright infringement.
If you believe that content hosted on our platform infringes your copyright, please submit a DMCA takedown notice to our designated agent:

Your notice must include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information sufficient to locate it; (d) your contact information; (e) a statement that you have a good faith belief that use of the material is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.
Repeat Infringer Policy: We will terminate the accounts of users who are determined to be repeat infringers of copyrighted works.
15. Indemnification
You agree to indemnify, defend, and hold harmless SE&LO INC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service or violation of these Terms.
- Content you upload to the Service, including any claim that such content infringes the intellectual property or other rights of a third party.
- Your end-users' interactions with your AI agents.
- Your violation of any applicable law, regulation, or third-party right.
- Any misrepresentation made by you regarding AI disclosure to your end-users.
This indemnification obligation shall survive the termination of your account and these Terms.
16. Third-Party Platform Compliance
The Service integrates with third-party messaging platforms, including WhatsApp and Telegram. These platforms have their own terms of service, acceptable use policies, and technical requirements that may change over time.
You acknowledge and agree that:
- Your use of messaging channel integrations is subject to the respective platform's terms and policies (including the WhatsApp Business Policy and Meta Terms for WhatsApp Business).
- Selox provides purpose-specific AI agents designed to answer questions based on your uploaded business documents. The Service is not a general-purpose AI chatbot platform.
- You are responsible for ensuring that your use of the Service through third-party platforms complies with those platforms' policies.
- Selox may modify, suspend, or discontinue specific channel integrations if required by changes in third-party platform policies.
- Selox is not liable for any disruptions, restrictions, or account suspensions imposed by third-party messaging platforms.
17. Selox Intellectual Property
The Service, including its software, algorithms, user interface, design, documentation, and all related intellectual property, is and remains the exclusive property of SE&LO INC and its licensors.
These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service.
The Selox name, logo, and related trademarks are the property of SE&LO INC. You may not use our trademarks without prior written consent.
18. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. SE&LO INC may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. Any attempted assignment in violation of this section shall be null and void.
